By submitting a Sales Partner application and checking the agreement box, you ("Sales Partner" or "Partner") agree to be bound by the following terms with Content Cartel Media LLC ("Company" or "Content Cartel").
Sales Partner is an independent contractor, not an employee, agent, or authorized representative of Content Cartel. Nothing in these terms creates an employment, partnership, joint venture, or agency relationship.
Upon a referred prospect signing a service agreement and completing their first monthly payment, Partner earns a one-time commission as follows:

Commissions are paid quarterly via wire transfer or ACH. Payout periods are Q1 (Jan–Mar), Q2 (Apr–Jun), Q3 (Jul–Sep), and Q4 (Oct–Dec). Commissions earned during a quarter are paid within 30 days of the quarter's end. Partner is responsible for all applicable taxes on commission income.
60-Day Clawback: A commission is considered earned only after the referred client completes 60 consecutive days of active service. If the client cancels, disputes payment, or is terminated before the 60-day mark, the commission is forfeited. If already paid, Partner agrees to return the commission amount within 14 days of notice.
Partner agrees to the following terms regarding representation of Content Cartel:
Company will provide Partner with an Approved Claims List and Sales Partner Kit at onboarding. Partner agrees to reference only approved materials when making claims about the Company's services or results.
Partner shall not directly solicit, contract with, or provide competing content marketing services to any prospect or client introduced through this referral relationship for a period of 12 months following the referral. This clause survives termination of these terms.
Partner acknowledges that commission structures, client lists, internal processes, pricing strategies, and any proprietary information shared during the partnership are confidential. Partner shall not disclose such information to any third party during or after the term of this agreement.
These terms are effective for 12 months from Partner's acceptance date and auto-renew annually unless either party provides 30 days' written notice of termination.
Company may terminate immediately for cause, including but not limited to: violation of Section 4 (Approved Conduct), misrepresentation, or any activity that damages Content Cartel's brand or client relationships.
Commissions earned prior to termination will still be paid per Section 3.
Company's total liability under these terms shall not exceed the total commissions paid to Partner in the 12 months prior to any claim. Company is not liable for Partner's tax obligations, business expenses, or any damages arising from Partner's own outreach activities.
These terms constitute the entire understanding between the parties regarding the Sales Partner relationship. The Company reserves the right to modify these terms at any time. Updated terms will be posted to this page and Partner will be notified via email. Continued participation in the program after notification constitutes acceptance of the updated terms.
Changes to the commission structure apply only to future referrals made after the effective date of the change. Commissions already earned on prior referrals remain locked at the rate in effect at the time of referral.
If any provision is found unenforceable, the remainder stays in full effect. These terms shall be governed by the laws of the State of Texas.
